Jan-Berend has 13 years of experience in corporate law, particularly in mergers and acquisitions. He specializes in take-overs (share as well as asset transactions), private equity transactions and joint ventures. In addition, he has broad experience with corporate governance and compliance issues.
He frequently acts for (inter)national companies involved in the acquisition or divestment of a Dutch target entity or international transactions with another Dutch component. He also regularly acts for (international) private equity houses.
Moreover, Jan-Berend has ample experience with setting up and advising on joint venture structures and has particular interest for documenting the division of power within a company. Lastly, he advises clients on a broad range of legal issues related to corporate law, such as corporate governance, large company regime, guarantees (e.g. 403 statements) and taking measures to prevent corruption.
Jan-Berend graduated from Erasmus University Rotterdam (company and commercial law) and completed with honors the postgraduate course “Mergers and Acquisitions” at the Grotius Academy.
He is inter alia a member of the Association Internationale de Jeunes Avocats, the Association for Corporate Litigation and the de Interpacific Bar Association.
Jan-Berend speaks Dutch, English and German.
Jan-Berend has registered the following principal legal practice area in the Netherlands Bar’s register of legal practice areas: Corporate Law. Based on this registration he is required to obtain ten training credits per calendar year in each registered principal legal practice area in accordance with the standards set by the Netherlands Bar.
